1. Agreement to Terms

These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of the website https://oembeautyequipment.com (the “Site”), as well as all technical consultations, quotations, engineering samples, OEM/ODM manufacturing services, and commercial equipment orders provided by OEM Beauty Equipment (“Company,” “we,” “us,” or “our”) to you (“Client,” “Buyer,” “Customer”).

By visiting our Site, submitting a Request for Quotation (RFQ), downloading technical resources, or issuing a commercial Purchase Order (PO), you acknowledge that you have read, understood, and agree to be legally bound by these Terms in full.

2. Strictly Business-to-Business (B2B) Relationship

2.1. Commercial Nature: OEM Beauty Equipment operates strictly as an industrial Original Equipment Manufacturer (OEM) and Original Design Manufacturer (ODM). Our products and engineering services are offered exclusively to commercial enterprises, including aesthetic clinics, medical spas, beauty equipment distributors, dermatological practices, and corporate brand owners. We do not sell retail consumer goods for home use.

2.2. Authority: Any person entering into an agreement or issuing orders on behalf of a company or legal entity represents and warrants that they possess full corporate authority to bind said entity to these Terms.

3. Inquiries, Quotations, and Order Placement

3.1. Quotations: Inquiries submitted through our website forms and formal quotations provided by our sales department are invitations to negotiate and do not constitute unilateral binding contracts. Written quotations remain valid for thirty (30) calendar days from issuance unless specified otherwise.

3.2. Order Confirmation: A binding manufacturing contract is established only after:

  • Both parties execute a written Proforma Invoice (PI) or Sales Contract; and
  • The agreed production deposit has been received and verified by our bank.

4. Customization Tiers and “Golden Sample” Approvals

We provide three distinct levels of OEM/ODM customization:

  • Level 1 (Brand Launch / Standard OEM): Standard proven hardware platforms with custom logo placement, basic startup screen branding, and standard packaging.
  • Level 2 (Private Label): Custom housing color, chassis surface finish, branded graphical user interface (GUI), tailored outer packaging, and custom user manuals.
  • Level 3 (Custom Device Engineering / ODM): Full turnkey hardware and software development, proprietary PCB/SMT circuit boards, tailored optics or liquid cooling systems, custom mold tooling, and dedicated technical compliance files.

4.1. Sample Sign-Off: For custom Private Label and ODM contracts, pre-production sample units (“Golden Samples”) are produced for client verification. Mass assembly commences only upon written sign-off of the Golden Sample, which serves as the final QA reference benchmark.

4.2. Change Orders: Any design, engineering, or component changes requested after Golden Sample approval will be billed additionally and will adjust the delivery schedule accordingly.

5. Pricing, Currency, and Payment Terms

5.1. Currency & Taxes: All prices are quoted in United States Dollars (USD) unless otherwise agreed upon in writing. Quoted prices exclude destination customs duties, import tariffs, value-added taxes (VAT), and local handling fees, which remain the buyer’s responsibility.

5.2. Payment Terms: Standard international manufacturing terms are Telegraphic Transfer (T/T wire transfer):

  • Production Deposit: 30% to 50% non-refundable deposit upon order confirmation to allocate raw components and initiate assembly.
  • Balance Payment: Remaining balance is due upon completion of production and pre-shipment quality inspection, prior to dispatch.
  • Tooling & Mold Fees: Custom ODM mold tooling fees must be paid 100% upfront prior to tool fabrication.

6. Tooling, Molds, and Intellectual Property

6.1. Client Intellectual Property: The Client retains all rights to its trademarks, logos, brand names, and proprietary artwork submitted for branding. The Client warrants that it owns or holds valid licenses for all submitted brand assets and indemnifies OEM Beauty Equipment against any trademark or copyright infringement disputes.

6.2. Factory Intellectual Property: OEM Beauty Equipment retains all exclusive worldwide proprietary rights to:

  • Embedded firmware, microcontroller coding, and internal SMT circuit board schematics;
  • Internal opto-mechanical structures, laser diode cooling channel designs, and RF circuit architectures;
  • Standard platform tooling, standard molds, and manufacturing methodologies.

6.3. Custom Molds: Where the Client pays for bespoke industrial mold tooling (Level 3 ODM), OEM Beauty Equipment guarantees that such custom molds will not be utilized for other clients, subject to mutually agreed minimum production volumes.

7. Confidentiality and Non-Disclosure (NDA)

Both parties agree to treat all business, engineering, and technical information exchanged during project scoping and manufacturing as strictly confidential. OEM Beauty Equipment readily executes bilateral Non-Disclosure Agreements (NDAs) prior to reviewing proprietary CAD drawings or sensitive product concepts.

8. Manufacturing Standards and Quality Assurance

8.1. Certifications: Production is conducted under certified ISO 13485:2016 medical device quality management systems and ISO 14644 dust-free ESD cleanroom protocols.

8.2. Quality Verification Gates: Every machine must pass four verification stages before dispatch:

  • IQC (Incoming Check): Testing raw laser bars, cooling pumps, power modules, and transducers.
  • SMT Inspection: Automated optical verification of surface-mount control boards.
  • Optical Calibration: Spectrometric verification ensuring laser and LED wavelengths match exact specifications (within ±5nm).
  • Burn-In Testing: Continuous 24 to 48-hour aging stress testing and 3.0 bar hydrostatic pressure testing on water-cooling loops.

9. Shipping, Incoterms, and Import Clearance

9.1. Delivery Terms: International shipping terms shall be governed by Incoterms 2020. Standard shipments are sold on an EXW (Ex Works – Guangzhou) or FOB (Guangzhou / Shenzhen) basis unless a different term (e.g., CIF, DDP) is explicitly agreed upon in writing.

9.2. Risk of Loss: Risk of loss or transit damage passes to the Buyer once the consignment is transferred to the designated shipping carrier or freight forwarder.

9.3. Import Permits & Regulations: The Buyer is solely responsible for verifying local regulatory requirements, import permits, customs declarations, and medical/aesthetic device approvals (e.g., FDA listing, CE importer responsibilities) in their destination country.

10. Inspection Period and Defect Claims

10.1. Immediate Inspection: The Buyer must examine all outer shipping crates and equipment upon delivery.

10.2. Notice Requirements:

  • Freight Damage: Exterior shipping damage must be documented on the carrier’s delivery slip and reported to us within 48 hours with photo and video proof.
  • Manufacturing Non-Conformity: Claims regarding technical defects or missing items must be filed within 14 calendar days of receipt. Failure to notify within this window constitutes complete acceptance of the delivered shipment.

11. Warranty Policy and Technical Support

11.1. Warranty Term: OEM Beauty Equipment provides a twelve (12) month limited warranty on all main machine consoles, internal power supplies, motherboards, display screens, and cooling systems, starting from the Bill of Lading (B/L) issue date.

11.2. Remedies: Under verified warranty claims, we will provide factory-certified replacement parts, modules, and remote engineering guidance free of charge. Replacement parts are dispatched via international courier.

11.3. Exclusions: This warranty does not cover:

  • Consumable items subject to normal operational wear (e.g., flash lamps, treatment tips reaching shot-count limits, protective filters);
  • Damage resulting from the use of non-distilled or mineralized water in cooling circuits;
  • Electrical surges, improper power connection, or inadequate grounding in clinic facilities;
  • Unauthorized machine disassembly, software alteration, or modifications performed without written factory approval.

12. Professional Medical & Aesthetic Disclaimer

12.1. Professional Use: Devices manufactured by OEM Beauty Equipment (including HIFU, RF, diode lasers, and cryotherapy machines) are engineered solely for commercial use by licensed dermatologists, certified aestheticians, medical practitioners, and trained clinic operators.

12.2. No Clinical Advice: Website content, brochures, and operating manuals are for manufacturing and technical reference only and do not constitute clinical guidance or medical advice.

12.3. Treatment Liability: OEM Beauty Equipment shall not be held liable for patient skin injuries, burns, clinical treatment outcomes, or operational accidents resulting from improper operator training, incorrect skin typing, or faulty parameter selection.

13. Limitation of Liability

To the maximum extent permitted under applicable law, OEM Beauty Equipment shall not be liable for any indirect, special, incidental, or consequential damages—including loss of clinic profits, loss of business goodwill, operational downtime, or regulatory penalties. In all circumstances, our maximum cumulative liability shall not exceed the actual invoice amount received for the specific equipment giving rise to the claim.

14. Force Majeure

Neither party shall be liable for delayed performance or non-performance (excluding payment obligations) caused by events beyond reasonable commercial control, including natural disasters, typhoons, fires, pandemics, government export/import bans, port disruptions, or global supply chain raw material shortages.

15. Governing Law and Dispute Resolution

15.1. Negotiation: In the event of any commercial disagreement, both parties agree to first pursue amicable direct settlement through executive consultation.

15.2. Arbitration: Any dispute that cannot be resolved through negotiation within thirty (30) days shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Guangzhou, China, conducted in English. The arbitral award shall be final and globally binding under the New York Convention.
